Advising ČSOB on the acquisition financing of GRANDFIN Group’s investment in MIFER

We provided legal advice to the acquisition finance department of ČSOB a.s. in connection with GRANDFIN Group’s investment in MIFER Group, which has been active in the vacuum forming of plastics for more than 30 years.
Our assistance included, in particular, due diligence and further legal support throughout the transaction.
The matter was handled on behalf of the firm by Barbora Dunovská, Aleš Hradil and Rudolf Suk.

We are expanding to Slovakia and have established a branch office

Our colleague has published an article: Digital Euro Explained

iEuro has published an article on the digital euro – a planned new form of central bank money issued by the European Central Bank, intended to complement cash and existing cashless payments. The article explains how the digital euro differs from money held in accounts with commercial banks, what opportunities and risks it may bring for financial institutions, and what its introduction could mean for entrepreneurs and merchants (including payment costs and compliance/AML considerations). The author of the article is our colleague, Radek Stejskal.

Successful transaction involving the sale of shares in JIHLAVAN a.s.

We provided comprehensive legal representation to the shareholders of an investment company in connection with the sale of shares in JIHLAVAN a.s., a specialist in the development, manufacturing, and servicing of aircraft hydraulic components and systems.
Our legal support included structuring the transaction, preparing the term sheet and data room, drafting and negotiating the share purchase agreement (SPA) and related transaction documentation, as well as handling the closing and settlement of the transaction.

The Bank Board Reappoints Mgr. David Urbanec as a Member of the CNB’s Review Committee

For the tenth consecutive time, the Bank Board has reappointed Mgr. David Urbanec for another one-year term as a member of the Review Committee of the Czech National Bank. The Review Committee serves as an advisory body for the preparation of draft decisions issued by the CNB’s Bank Board in administrative proceedings. The committee primarily reviews appeals against CNB decisions, submits proposals, opinions, or legal assessments to the Bank Board, and provides legal positions. The committee members are recognized experts in the fields of law and economics. We are very pleased that David is among them.
