An interview with David Urbanec has been published on epravo.cz as part of the “10 Questions” series. We provided comprehensive legal representation to the shareholders of an investment company in connection with the sale of shares in JIHLAVAN a.s., a specialist in the development, manufacturing, and servicing of aircraft hydraulic components and systems.
Our legal support included structuring the transaction, preparing the term sheet and data room, drafting and negotiating the share purchase agreement (SPA) and related transaction documentation, as well as handling the closing and settlement of the transaction.

For the tenth consecutive time, the Bank Board has reappointed Mgr. David Urbanec for another one-year term as a member of the Review Committee of the Czech National Bank. The Review Committee serves as an advisory body for the preparation of draft decisions issued by the CNB’s Bank Board in administrative proceedings. The committee primarily reviews appeals against CNB decisions, submits proposals, opinions, or legal assessments to the Bank Board, and provides legal positions. The committee members are recognized experts in the fields of law and economics. We are very pleased that David is among them.

The financing supports the expansion and opening of new restaurant units under the Burger King and Popeyes brands across Poland, Romania, and the Czech Republic.

With great pleasure, we announce that our dear colleague and partner, JUDr. Aleš Hradil, has been elected a member of the Disciplinary Committee of the Czech Bar Association at its 9th Assembly.

The Disciplinary Committee decides in three-member panels on serious or repeated breaches of duties committed by an attorney or a trainee attorney under the Act on the legal profession or the professional regulations.

We sincerely congratulate Aleš on his election and wish him every success in his new and responsible role.

We provided legal advisory to ČSOB Advisory for its client AD Technik, which operates in the automotive industry, in connection with structuring the acquisition of a company from the same sector. Our services covered the design and implementation of the holding structure together with assistance with transaction terms, preparation and negotiation of the letter of intent, due diligence, and the drafting and negotiating the share purchase agreement.

This transaction is another example of our long-standing expertise in corporate restructurings and mergers & acquisitions, where we support clients from initial structuring through to the successful completion of the transaction.
